Yantai Bopai Packaging Products Co., Ltd. (the “Company”) understands that the files you upload for quotation purposes may contain sensitive trade secrets, unreleased product designs, or proprietary technical specifications (collectively, “Confidential Information”). Manufacturing operations may be carried out by Yantai Yijie Cap Manufacturing Co., Ltd., an affiliated entity operating under the Company’s direction and bound by the same confidentiality obligations.
This Policy explains how we protect the intellectual property and proprietary data you submit via our Quote Request Form.
1. DEFINITION OF CONFIDENTIAL INFORMATION
1.1. For the purposes of this Policy, “Confidential Information” includes, but is not limited to:
(a) Artwork, logos, and branding concepts;
(b) Technical drawings, dimensions, and specifications;
(c) 3D models (CAD, STP, STEP, or similar formats);
(d) Product designs, including unreleased or prototype designs;
(e) Pricing information and commercial terms discussed during the quotation process;
(f) Information regarding the Prospective Buyer’s product launch plans, business strategies, or market intentions; and
(g) Any other information marked as “Confidential” or which would reasonably be understood to be confidential given the nature of the information and circumstances of disclosure.
1.2. Confidential Information is submitted by you (the “Prospective Buyer”) through the “Get a Quote,” “Upload Artwork,” or similar portals on https://bovia.co, or via direct communication with our sales team (including email and live chat).
2. OUR NON-DISCLOSURE OBLIGATIONS
By accepting your file submission, the Company legally agrees to the following strict confidentiality terms:
2.1. Strict Confidentiality. We shall hold your Confidential Information in strict confidence. We will not disclose, publish, or disseminate your designs to any third party, competitor, or public platform.
2.2. Permitted Use Only. We will use your Confidential Information solely for the purpose of:
(a) Calculating manufacturing costs;
(b) Assessing technical feasibility;
(c) Preparing a price quotation for you;
(d) Producing samples for your approval (if you proceed to the sampling stage); and
(e) Manufacturing the Goods ordered by you (if you proceed to place an order).
2.3. No Commercial Exploitation. We will never use your designs to manufacture goods for other clients or for our own brand. Custom moulds and tooling created based on your designs will be used exclusively for your orders and will not be used to manufacture goods for third parties. For clarity, this exclusivity of use does not constitute transfer of mould ownership, which remains with the Company unless expressly agreed otherwise in accordance with the B2B Master Terms and Conditions of Sale.
2.4. Disclosure to Manufacturing Affiliate. Notwithstanding Section 2.1, the Company may disclose your Confidential Information to its affiliated manufacturing entity, Yantai Yijie Cap Manufacturing Co., Ltd., solely for the purposes of technical assessment, sample production, and order fulfillment. This affiliate is bound by confidentiality obligations equivalent to those set out in this Policy.
3. ACCESS CONTROL
3.1. Internal Access Restrictions. We limit access to your Confidential Information strictly to personnel who require access for legitimate business purposes:
(a) Sales Representatives: To communicate pricing and coordinate your order;
(b) Technical Engineers: To assess manufacturing feasibility using our aluminum stamping, rolling, and finishing equipment; and
(c) Production Staff: To manufacture samples and fulfill confirmed orders (only after you proceed with an order).
3.2. Confidentiality Agreements. All employees and contractors with access to your files are bound by written confidentiality agreements as a condition of their employment or engagement.
3.3. Limited Personnel. Access is currently limited to a small number of authorized personnel. We maintain access logs and review access permissions periodically.
3.4. Affiliate Personnel. Personnel at our manufacturing affiliate, Yantai Yijie Cap Manufacturing Co., Ltd., who require access for production purposes are subject to equivalent confidentiality obligations.
4. DATA RETENTION AND DELETION
To further protect your intellectual property, we enforce a strict data retention schedule for quote files:
4.1. If No Order is Placed. If you do not proceed with an order within six (6) months of receiving the quotation:
(a) Your uploaded files, technical drawings, and related Confidential Information will be permanently deleted from our active servers;
(b) Backup copies will be purged in accordance with our standard backup rotation schedule (typically within 30 days of deletion from active servers); and
(c) Retention may be extended at your written request if you anticipate placing an order at a later date.
4.2. If an Order is Placed. If you proceed with an order:
(a) We will retain your technical specifications, artwork, and related production data for seven (7) years to facilitate re-ordering, quality control consistency, and resolution of any disputes;
(b) This retention period complies with Chinese tax and commercial record-keeping requirements; and
(c) You may request earlier deletion of your Confidential Information, provided that such deletion does not conflict with our legal obligations. We will confirm in writing once deletion is complete.
5. SECURITY MEASURES
5.1. Transmission Security. Your files are uploaded via a secure, encrypted connection (HTTPS/TLS 1.2 or higher). We use industry-standard encryption to protect your data during transmission.
5.2. Storage Security. Uploaded files are stored on secure servers with access controls, firewalls, and regular security updates. We implement reasonable technical and organizational measures to protect your Confidential Information against unauthorized access, alteration, or destruction.
5.3. Recommendations for Sensitive Files. For extremely sensitive files (e.g., patent-pending designs or unreleased product concepts), we recommend:
(a) Password-protecting files before uploading; and
(b) Providing the password to our sales team via a separate secure channel (e.g., encrypted email or WhatsApp).
5.4. International Transfer. Your Confidential Information will be transferred to and stored in Mainland China for processing. Further information on personal data processing and international data transfers is provided in our Website Privacy Policy.
5.5. No Absolute Guarantee. While we take reasonable precautions to protect your information, no method of electronic transmission or storage is completely secure. We cannot guarantee absolute security but will notify you promptly in the event of any breach in accordance with Section 8.
6. EXCEPTIONS
The confidentiality obligations in this Policy do not apply to information that:
(a) Is already in the public domain at the time of disclosure, or subsequently enters the public domain through no fault of the Company;
(b) Was lawfully known to the Company prior to your submission, as evidenced by written records;
(c) Is independently developed by the Company without use of or reference to your Confidential Information;
(d) Is received from a third party who is lawfully entitled to disclose it without restriction; or
(e) Is required to be disclosed by law, regulation, or court order, in which case the Company will:
(i) Notify you promptly (to the extent legally permitted);
(ii) Limit disclosure to only what is legally required; and
(iii) Cooperate with you in seeking protective orders or other appropriate remedies.
7. RELATIONSHIP WITH OTHER POLICIES
7.1. This Policy supplements and operates in conjunction with:
(a) The Website Privacy Policy (governing personal data processing);
(b) The Legal Authorisation & Document Submission Policy (governing intellectual property warranties); and
(c) The B2B Master Terms and Conditions of Sale (governing orders and transactions).
7.2. In the event of any inconsistency between this Policy and other policies regarding the confidentiality of submitted files and designs, the provisions of this Policy shall prevail with respect to such Confidential Information.
8. DATA BREACH NOTIFICATION
8.1. In the event of a security breach affecting your Confidential Information that is likely to result in material risk to your interests, we will:
(a) Notify you without undue delay and in any event within seventy-two (72) hours of becoming aware of the breach (where feasible);
(b) Provide details of the nature of the breach, the categories of information affected, and the approximate number of files involved;
(c) Describe the likely consequences of the breach; and
(d) Outline the measures taken or proposed to address the breach and mitigate potential adverse effects.
8.2. We will cooperate with you in any investigation and take reasonable steps to prevent recurrence.
9. TERM AND SURVIVAL
9.1. This Policy applies from the moment you submit Confidential Information to us and continues for the duration of our business relationship.
9.2. The confidentiality obligations set out in this Policy shall survive:
(a) The expiration or termination of any quotation or order;
(b) The deletion of your files from our systems; and
(c) The termination of our business relationship for any reason.
9.3. The confidentiality obligations shall remain in effect for a period of five (5) years following the later of: (i) the date of last disclosure; or (ii) the completion of any order based on your Confidential Information.
10. REMEDIES
10.1. The Prospective Buyer acknowledges that any breach of this Policy by the Company may cause irreparable harm for which monetary damages alone would be inadequate.
10.2. In the event of any actual or threatened breach, the Prospective Buyer shall be entitled to seek equitable relief, including injunction and specific performance, in addition to any other remedies available at law.
10.3. Nothing in this Policy limits any rights or remedies that the Prospective Buyer may have under applicable law.
11. GOVERNING LAW AND JURISDICTION
11.1. This Policy shall be governed by and construed in accordance with the laws of the People’s Republic of China.
11.2. Any disputes arising under this Policy shall be subject to the exclusive jurisdiction of the competent courts in Yantai, Shandong Province, China, for final resolution.
11.3. Interim Relief. Notwithstanding Section 11.2, either party may apply to any court of competent jurisdiction for interim or injunctive relief to protect Confidential Information or prevent irreparable harm, without such application constituting a waiver of the exclusive jurisdiction clause.
11.4. This Policy is executed in English. In the event of any translation, the English version shall prevail.
